1. Definitions

"Service" – The PostFlow platform for managing, creating and publishing content on social networks, including AI-powered content creation, video, images, music, campaign management and automatic publishing. "Company" – BrainTop Ltd. and/or its representatives. "User" – Any person or entity using the Service, whether paid or free. "Credits / Tokens" – Usage units required to perform actions in the system. "Initial Free Usage" – A one-time allocation of up to 8 tokens at no cost, granted at the Company's discretion. "Third-Party Services" – Any external service including social networks (Facebook, Instagram, LinkedIn, TikTok), AI services, payment providers, storage or APIs.

2. Acceptance of Terms

Use of the Service constitutes full, binding and irrevocable agreement to all these terms. If you do not agree to these terms, you must refrain from any use of the Service.

3. Service Description

The Service enables users to create, edit, manage and publish marketing content automatically, including:

Creating posts, images, video and music using AI
Managing and distributing content to social networks
Connecting to external accounts (OAuth / API)
Campaign and digital content management

4. Initial Free Usage

The Company may grant new users a one-time allocation of up to 8 tokens at no cost.

4.1 This is not a trial period, and there is no commitment to continued free service.

4.2 The Company may modify, reduce or cancel free usage at any time without notice.

4.3 Free usage is provided "AS IS" without any commitment from the Company.

4.4 The Company reserves the right to change the number of free tokens.

5. Payments, Billing and Tokens

Usage beyond the free allocation requires purchasing credits or a paid subscription.

5.1 Payments are made in advance for the service period or for credits.

5.2 All credit purchases are final and non-refundable.

5.3 Unused credits do not carry over and cannot be converted or refunded.

5.4 Subscriptions may auto-renew until cancelled by the user.

5.5 Subscription cancellation takes effect at the end of the current billing period only.

5.6 No refunds will be given for any reason, including:

6. Social Network & Third-Party Connections

The Service includes connecting to third-party accounts via permissions (OAuth / API). The user is fully responsible for all actions performed through their accounts. The Company is not responsible for:

6.1 Use is subject to the terms of service of those third parties.

6.2 The Company does not guarantee continuous compatibility with third-party services.

6.3 Third-party API changes may affect Service availability.

6.4 The user is responsible for backing up content published to social networks.

7. Content & User Responsibility

The user is fully and solely responsible for all content created, published or distributed through the Service. The Company is not a party to the content and is not responsible for business, legal or other outcomes. It is prohibited to use the Service for:

7.1 The Company may remove content or suspend accounts at its sole discretion.

7.2 The user undertakes not to publish content containing personal information of third parties without their consent.

7.3 The user is responsible for ensuring content complies with applicable laws and social network advertising policies.

7.4 The Company reserves the right to report illegal content to authorities.

8. AI-Generated Content

The Service uses artificial intelligence.

8.1 Content may be inaccurate, incomplete or erroneous.

8.2 Responsibility for reviewing, verifying and using content rests solely with the user.

8.3 The Company is not liable for damages caused by publishing AI-generated content without review.

9. Intellectual Property

All rights to the platform, code, design and system belong to the Company.

9.1 Content created belongs to the user, provided it does not infringe any rights.

9.2 The user grants the Company a non-exclusive license to use outputs anonymously for improvement and marketing purposes.

9.3 Copying, duplicating, reverse engineering or reselling parts of the platform without written permission is prohibited.

10. Limitation of Liability

The Service is provided "AS IS" without warranty. The Company shall not be liable for any direct or indirect damages, including:

10.1 In any case, the Company's liability shall not exceed the amount actually paid in the 3 months preceding the event.

10.2 The Company does not guarantee any business results from using the Service.

10.3 Failure to achieve expected results does not entitle the user to any refund or compensation.

11. Indemnification

The user undertakes to indemnify the Company for any damage, claim or expense arising from:

12. Service Availability

The Company does not guarantee continuous availability of the Service. Outages, failures and maintenance may occur without prior notice.

13. Data Storage & Privacy

The Company collects information for operating, improving and securing the Service. Information may include:

13.1 The Company may use information anonymously for improvement and marketing.

13.2 The user is responsible for backing up their content.

13.3 The Company is not liable for data loss.

13.4 After account deletion, data will be removed within 30 days, except as required by law.

13.5 The user may request deletion of personal data at any time.

14. Data Security

The Company employs reasonable security measures including SSL encryption, password hashing, and access controls. However, the Company does not guarantee complete protection against breaches or unauthorized access.

15. Service Termination

The Company may suspend or terminate an account at any time without prior notice. The user may close their account at any time through account settings.

16. Changes to Terms

The Company may update these terms at any time. Material changes will be published on the website. Continued use constitutes acceptance of the updated terms.

17. Governing Law & Jurisdiction

The governing law is Israeli law exclusively. Exclusive jurisdiction shall be in the courts of Tel Aviv-Jaffa. The user waives any claim regarding jurisdiction or improper forum.
